These Terms of Use ("Terms") govern your use of 245DCompliance.com (the "Site"), which is owned and operated by CareCertify LLC, a Minnesota limited liability company ("CareCertify," "we," "us," or "our"). By using the Site you agree to these Terms. If you don't agree, please don't use the Site. Our Privacy Policy explains how we handle information collected through the Site.
1. What the Site is — and isn't
The Site is a business-to-business marketing and information website. It describes the Certify245D compliance software, CareCertify training, payroll (offered in early access) and our consulting services, and lets you ask questions, book demos and request services.
Using our products is governed by a separate agreement. Access to the Certify245D platform, CareCertify training and payroll requires a written subscription agreement (and, where applicable, a Business Associate Agreement) between your agency and CareCertify. Consulting engagements are governed by their own written agreement. If one of those agreements conflicts with these Terms, that agreement controls.
2. No professional advice
Information on the Site — including anything the website assistant says — is general information and marketing. It is not legal, regulatory, compliance, tax, financial or other professional advice. CareCertify is not a law firm and does not provide legal services.
Requirements for Minnesota 245D and other licensed providers are complex and change often. Summaries of statutes, DHS guidance or licensing status on the Site may be incomplete or out of date. Responsibility for meeting licensing and regulatory requirements stays with the license holder. Consult a qualified attorney or compliance professional about your specific situation.
3. The AI website assistant
- The chat assistant is an automated artificial-intelligence tool, not a person. Its answers can be incomplete or wrong.
- Nothing the assistant says is a binding offer, quote, promise or commitment. Prices, features, availability and terms are confirmed only in a written agreement signed by CareCertify.
- Don't rely on the assistant for legal, compliance or other professional decisions.
- Don't enter health information, client names or other people's personal information into the assistant.
- We may limit, suspend or change the assistant at any time, including limiting how many messages any connection can send.
4. Using the Site
You may browse the Site and use its forms, chat and booking features for legitimate business purposes related to evaluating or engaging CareCertify's services. You agree not to:
- use the Site in a way that violates any law or regulation;
- submit false, misleading or fraudulent information, or impersonate anyone;
- submit protected health information or other people's personal information without authorization;
- try to make the website assistant ignore its instructions, reveal its configuration, or produce harmful or unrelated content;
- send automated or excessive requests to the Site, its forms or the assistant, or use them to generate content for your own products;
- harvest, scrape or collect contact information or content from the Site;
- attempt to gain unauthorized access to the Site, our products or related systems, or interfere with their operation;
- frame, mirror or republish Site content without our written permission.
5. Inquiries, pricing and availability
- Submitting a form, booking a demo or chatting with us does not create a client relationship or any obligation on either side.
- Published prices describe our current packages, which are sold on a one-year agreement billed monthly. Prices, packages and features may change without notice and are not a binding offer until included in a signed agreement.
- Payroll is offered in early access to a limited number of Minnesota agencies. Its availability, features and pricing may change, and participation requires a separate agreement.
- Results you may get from our products or consulting depend on your agency's own practices. We don't guarantee any licensing, audit, review or reconsideration outcome.
6. Live chat, demo booking and other third-party services
Some Site features are provided by other companies, including live chat (tawk.to), demo booking and meetings (Microsoft Bookings and Teams) and embedded video. Your use of those features is also subject to those providers' terms and privacy policies. We are not responsible for their services or their availability.
7. Testimonials and other submissions
- If you submit a testimonial, you confirm that it reflects your own genuine experience with CareCertify and that you are allowed to share it on behalf of yourself and, if named, your agency.
- You grant CareCertify a non-exclusive, royalty-free permission to publish, display and quote your testimonial on the Site, in the website assistant and in our marketing, credited the way you chose. We may correct spelling or shorten it slightly, but won't change its meaning without your approval.
- You can withdraw this permission at any time by contacting us; we will remove the testimonial from the Site promptly.
- Don't include client names, health information or anything confidential in a testimonial.
- If you ever receive anything of value in connection with a testimonial, we will disclose that alongside it.
For other suggestions or feedback you send us, you agree we may use them without obligation to you.
8. Intellectual property
All content on the Site — including text, graphics, logos, product names, screenshots, videos and branding — belongs to CareCertify LLC or its licensors and is protected by intellectual property laws. Certify245D, CareCertify and 245DCompliance.com are names used by CareCertify LLC. You may not reproduce, distribute or create derivative works from Site content without our written consent, except for personal, non-commercial reference.
9. Links to other sites
The Site links to other websites, such as the Minnesota Department of Human Services and the Office of the Revisor of Statutes, for your convenience. We don't control and aren't responsible for the content or practices of other sites, and a link isn't an endorsement.
10. Disclaimer of warranties
The Site, its content and its features — including the website assistant, live chat and booking tools — are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the Site will be uninterrupted, error-free or free of harmful components.
11. Limitation of liability
To the fullest extent permitted by law, CareCertify will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of or reliance on the Site or its content, including anything the website assistant says. Our total liability for any claim arising from your use of the Site will not exceed one hundred dollars ($100.00).
This section applies to your use of the Site only. Liability relating to our products or consulting is governed by the agreement for those services.
12. Governing law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be resolved in the state or federal courts located in or serving Itasca County, Minnesota, and you consent to personal jurisdiction in those courts.
13. Changes to these Terms
We may update these Terms at any time by posting the new version on this page with a new "last updated" date. Changes take effect when posted. Your continued use of the Site after a change means you accept the updated Terms.
